This Agreement is made effective as of the most recent date signed below, by and between Cassus Media LLC ("Company") and the individual signed below ("Connection Specialist").

1. Purpose

The purpose of this Agreement is to outline the terms and conditions under which the Connection Specialist will refer potential clients to Cassus Media LLC, manage client relationships, and receive commission payments for successful referrals as a W-9 subcontractor with the Company.

2. Referral Commission

2.1 The Connection Specialist will receive a commission of 20% of the gross amount paid to Cassus Media LLC by any client referred by the Connection Specialist.

2.2 The commission is applicable to: any products or services that the referred client purchases or subscribes to; and one-time purchases, such as website packages, where the commission will be calculated based on the total value of the purchase.

3. Payment Terms

3.1 Commission payments will be made to the Connection Specialist via Patriot Software. The Connection Specialist will need to provide information to the Company to set up their profile, and then will receive an invite to create their user account to set up banking information for payouts.

3.2 Commission payments will be processed and disbursed within 30 days after Cassus Media LLC receives payment from the referred client on a rolling basis.

3.3 Should the referred client cease services with the Company, the Connection Specialist will no longer receive commissions from the then-former client.

4. Responsibilities of the Connection Specialist

4.1 The Connection Specialist agrees to: refer potential clients to Cassus Media LLC; provide accurate information about Cassus Media LLC's services and products; ensure that referred clients are aware that they were referred by the Connection Specialist; manage and check in on the referred clients to ensure their satisfaction with Cassus Media LLC's services; and report any client feedback or issues to Cassus Media LLC promptly.

4.2 The Connection Specialist is not responsible for day-to-day deliverables of assets, content, or other materials requested, ordered, or needed by their client(s). The Company agrees to do its best to provide its services to its clients, but cannot guarantee that referred clients will indefinitely continue services.

4.3 The Connection Specialist is encouraged, but not required, to stay in contact with their referred client(s) to ensure satisfaction with the services rendered by the Company and to communicate any concerns with Company staff.

5. Subcontractor Status

5.1 The Connection Specialist is considered a subcontractor of Cassus Media LLC.

5.2 As a subcontractor, the Connection Specialist is responsible for managing their own taxes, insurance, and any other legal or financial obligations related to their referral activities and will be required to complete a W-9 for tax purposes.

6. Term and Termination

6.1 This Agreement shall remain in effect until terminated by either party.

6.2 Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.

7. Confidentiality

7.1 The Connection Specialist agrees to keep all information related to Cassus Media LLC's business, clients, and referral process confidential and not to disclose it to any third party without the prior written consent of Cassus Media LLC.

8. Miscellaneous

8.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral.

8.2 This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania.

8.3 Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
